Our client who is one of the world's largest insurance groups, and one of the few to operate on a truly global basis is currently looking for a Company Secretary to join their legal team on a short contract assignment. This opportunity is based in London and easily accessible to by train as it is situated near to Bank tube station. The key purpose of this role is to develop and provide highly efficient and professional company secretarial services for board of investors and various committees. It's main focus is supporting Non Executive directors within the board. Accountabilities and deliverables To provide highly efficient and professional company secretarial services for the companies and committees within the Aviva Investors. To provide support to the company and committee boards, including transactional support, and to ensure that the statutory duties imposed on the company and its directors under the Companies Act 2006 are effectively discharged and principles of good governance and codes of best practice implemented. Assist with the maintenance of the terms of reference and relevant policies for the companies and committees. Assist with the maintenance of the articles of association for companies ensuring they are up to date. Assist with the producing due diligence and oversight of liquidations of corporate entities. Assist in the establishment of branches and related continuing obligations. Production and maintenance of various board and company secretarial procedures i.e. for the Company Secretarial Procedure Manual. Maintain and update lists of authorised signatories and powers of attorney relating to the execution of documents. General company secretarial housekeeping including the oversight and maintenance of all statutory company registers and documents and the lodging of all Company House forms. Ad hoc work as requested. Governance Policies. Policies owned by the role holder are appropriate, effectively communicated, continuously reviewed, monitored for compliance and embedded. Committees. The role holder will ensure that committees and sub-committees, for which he/she is the Chair, are appropriately staffed, and deliver effectively against their Terms of Reference. Risk. Role holder will assure him/herself of adequacy of systems and controls for mitigating the risks in all delegated and retained responsibilities, including systems to ensure that individuals in all roles to whom responsibilities have been delegated are competent to fulfill their roles. Systems. Role holder will undertake a regular review of the systems and controls in their function and ensure recommendations for improvement are implemented. Group. Meets the requirements for Group and regulatory deliverables. Oversight. The role holder will operate within an environment of good control and governance whilst having a strong grasp of the regulatory, legal and business risk implications of opportunities and decisions. Key Performance Indicators All documentation i.e. board papers, resolutions and minutes to a high standard and in a timely fashion. Positive feedback from board members, committee members and business colleagues. Up to date and relevant board and company secretarial procedures. The Boards and Committees for which you have responsibility fulfil their corporate governance obligations. All fillings are completed by their respective deadlines. Updated policies for the governance manual are produced in a timely manner. All Group reporting completed within the respective deadline. Someone with a legal background who has vast experience at dealing with Non Executives would be ideal for the role.
