Revise a writing collaboration agreement - Contract Law Contracts Copyright Intellectual Property International Law
I am co-writing my first nonfiction book in the subject area of self development (specifically neuro-linguistic programming) with another co-writer overseas (who is also the subject of the book) and wanted some legal guidance on a draft writing collaboration agreement (see attachments) by personalizing it to include necessary clauses in the attachment 'ADDITIONAL CONTRACTUAL CLAUSES.' As it's merely reviewing and modifying a draft template, for someone with professional legal writings skills this is probably an easy 20 bucks for an hour's work tops. Job description: I am looking for a talented legal or paralegal to revise a draft writing collaboration agreement from an attached template agreement (I prefer 'Author Contract') providing some inclusions and amendments. Your responsibilities: - Revise the draft writing collaboration agreement attached (I prefer 'Author Contract'). - Advise on procedures necessary to obtain any and all relevant international copyrights, registrations and necessary legal permissions in publishing the book in multiple countries in South East Asia. Your qualifications: - Primary Skills: Legal/contract writing - Fluent English including excellent writing, grammar, spelling and formatting - A work style that is extremely detail oriented - The drive, flexibility and passion to work independently and thrive in a remote-work environment - Strong communication skills - A complete Elance profile - An exceptional portfolio that demonstrates an ability to create compelling copy for a wide variety of brands, audiences and industries - References or an established reputation on Elance preferred A few questions: -I am living in Philippines and my cowriter is in Thailand where we, but not exclusively, intend to first release the book followed by a rollout into other countries in south east asia. Although, it could be released in another country first depending on our publisher. Which country should the agreement be legally bound to? The laws of Thailand, Philippines or international laws? Should this be included into the agreement? -Does the 'Work' need to be registered or copyrighted in each individual country it is published in? -The book in about NLP (neurolinguistic programming). Do i need permissions or a release to use some of the terminology and techniques of NLP within the book? Is the idea or the techniques of NLP patented or copyrighted? -This is the first time I am working with this cowriter. Can you add in a clause with a deadline for completion so our expectations are managed? Can penalties be applied for non completion on either side like loss of percentage in profits or loss in credit? What is reasonable and how to structure? -Can a clause be added in for our roles, responsibilities and due dates for delivery. For example, I will be responsible for the majority of the writing, editing, cover design, marketing and brand management. My cowriter will be responsible for a minor part of co-writing, marketing, acquiring the testimonials and endorsements and publicity, and interviews. -What happens if we can't sell the work or one of you doesn't uphold their end of the bargain because of illness, death, competing obligations, laziness, incompetence? How will we terminate the relationship? Can you suggest the rights, if any, each of you own in the work should this occur? -How do you suggest we resolve any disputes that arise between us? Mediation? Arbitration? Publisher? I'd appreciate if you could please advise any other potential pitfalls or issues that i may have left out as I've never gone through this process before.
